Belrise Industries has announced a strategic acquisition of 100% stake in UK-based Chester Hall Precision Engineering Holdings, marking its entry into the global aerospace, space and defence manufacturing ecosystem.

The acquisition, executed through its step-down wholly owned subsidiary Belrise UK Holdings, involves an enterprise value of £13.2 million (₹130 crore) and was completed at an EV/EBITDA multiple of 6x. The deal also includes a deferred consideration linked to Chester Hall’s CY26 performance.

Strategic Shift Into Aerospace & Defence

The move represents a defining pivot for Belrise as it expands beyond its core automotive business into one of the most technologically demanding sectors globally.

Chester Hall brings expertise in machining aerostructures, aero-engine and satellite components and has strong relationships with leading global aerospace OEMs. It has capabilities in working with advanced materials like titanium and high-grade aluminium besides specialisation in concurrent design and development of mission-critical components.

The UK-based firm serves as a single-source supplier across several programs, underscoring its strategic importance and high entry barriers in the aerospace value chain.

Immediate Financial & Operational Upside

With annual revenues of approximately £18.5 million, the acquisition is expected to be EPS-accretive from day one and ROCE-accretive, enhancing capital efficiency

The transaction provides Belrise with immediate access to advanced aerospace certifications and precision manufacturing capabilities, accelerating its global diversification strategy.

Building A Cross-Border Engineering Platform

The acquisition unlocks multi-dimensional strategic value for Belrise. It will pave entry into high-value aerospace manufacturing and provide ability to serve global OEMs and Tier-1 suppliers at scale. The buy will help in integration of India’s cost-efficient manufacturing scale with UK-based precision engineering expertise.

This creates a strong cross-border platform combining volume manufacturing with high-precision capabilities.

Belrise Industries head of strategy Sumedh Badve said:“This acquisition marks a defining chapter in Belrise’s journey. We are expanding beyond automotive into one of the most technically demanding and fastest-growing global sectors, aerospace and defence. Chester Hall brings deep precision engineering capabilities and a sterling reputation within the aerospace supply chain.”
