The National Company Law Tribunal (NCLT), Chennai Bench, has moved the proposed demerger of Veranda Learning Solutions’ commerce vertical a step forward, directing the company to convene a meeting of its equity shareholders on April 24, 2026, via video conferencing.
The meeting will consider and approve the Composite Scheme of Arrangement involving Veranda Learning Solutions (VLS), Veranda XL Learning Private Limited (VXLS), and J.K. Shah Commerce Education Limited (JSCEL), enabling the eventual separate listing of the commerce-focused entity.
Streamlined Process Speeds Up Execution
In a significant procedural relief, the NCLT has dispensed with multiple stakeholder meetings across VLS, VXLS, and JSCEL. This move simplifies the approval process and accelerates the timeline for the proposed restructuring, which was first announced in September 2025.
The scheme is aimed at simplifying the group’s structure while unlocking value through a sharper strategic focus on the fast-growing commerce education segment.

Veranda Learning executive director and chairman Suresh Kalpathi said the development marks a key milestone in the company’s transformation journey.
