Bosch Ltd, the flagship company of the Bosch Group in India, said it plans to acquire 100% stake in Bosch Chassis Systems India Pvt Ltd (RBIC) from Robert Bosch Investment Nederland B.V (RBNI) and Robert Bosch LLC for a total consideration of ₹9,068.68 crore.
A share purchase agreement will be executed among Bosch, RBNI, Robert Bosch LLC and RBIC. Upon completion, RBIC will become a wholly owned subsidiary and a material subsidiary of Bosch.
Deal Structure
The Board has also approved the issuance of 1,230 equity shares of face value ₹10 each at a price of ₹35,200 per share (including a premium of ₹35,190) on a preferential basis for consideration other than cash to RBNI and Robert Bosch LLC.
The transaction involves a mix of cash and non-cash consideration.
Strategic Rationale
The acquisition is aimed at strengthening Bosch’s transition from a component supplier to a provider of integrated mobility solutions for original equipment manufacturers (OEMs).
It will enhance the company’s capabilities in key domains such as safety and braking, complementing its existing strength in power solutions, and is expected to create long-term shareholder value.

Bosch Chassis Systems India represents the Vehicle Motion division of Bosch in India and is among the market leaders in automotive safety systems.
Its portfolio includes active safety systems such as anti-lock braking systems and electronic stability control, passive safety systems including airbag control units and sensors, as well as braking actuation systems across passenger vehicles, two-wheelers and commercial vehicles.
