Aurum PropTech Ltd has proposed to acquire 100% stake in Housing.com for ₹458 crore on a fully diluted basis from REA India Pte Ltd, Singapore.
The acquisition will be carried out through an all-equity transaction and is aimed at creating an integrated PropTech platform spanning the entire real estate value chain.
All-equity transaction
Aurum PropTech has entered into a binding Share Acquisition Agreement with Locon Solutions Pvt Ltd, the owner of Housing.com, to acquire the company.
Under the deal, Aurum will issue 1,97,93,309 equity shares, representing about 20.5% of its enlarged share capital. Following the transaction, REA India’s shareholding in Aurum PropTech will increase to 24.9%.

The combination brings together Housing.com, one of India’s leading real estate marketplaces, and Aurum PropTech’s technology-led ecosystem.
The integrated platform will cover property discovery, transactions, financing, rentals and property management, offering end-to-end services across the real estate life cycle.

The company said the primary objective of acquiring Locon Solutions Pvt Ltd is to bring Housing.com into the Aurum ecosystem and create a unified AI and data architecture for the real estate sector.
The combined platform is expected to connect consumer demand, developer inventory, brokerage services, rentals, financing and transactions, creating a technology-driven operating layer for the Indian real estate ecosystem.
