Marico Ltd has increased its ownership in Satiya Nutraceuticals Pvt Ltd, the company behind plant-based nutrition and wellness brand Plix, to 84.09% on a fully diluted basis after completing a further stake acquisition.
According to a BSE filing, Marico acquired a 24.09% stake in Satiya Nutraceuticals for ₹1,012.03 crore in cash on October 5, taking its holding from 60% to 84.09%.
The transaction is part of Marico’s strategy to strengthen its presence in the value-added foods, nutrition, personal care and wellness segments, where consumer demand for health-focused products has been expanding.
Deal takes Marico closer to full ownership
The latest acquisition forms part of the company’s exercise of rights under definitive agreements to acquire the 38.18% stake held by the founders and certain other shareholders of Satiya Nutraceuticals.
Following the October 5 transaction, Marico now owns 84.09% of Satiya Nutraceuticals on a fully diluted basis.
The remaining 14.09% stake held by the founder and certain other shareholders is scheduled to be acquired in July 2027, subject to the terms and conditions of the definitive agreements.
Once completed, the transaction will further consolidate Marico’s ownership of the business.
Plix expands Marico’s nutrition and wellness play
Satiya Nutraceuticals, headquartered in Mumbai, owns The Plant Fix – Plix, a plant-based nutrition and personal care brand with a presence across the health and wellness categories.
The investment in Satiya Nutraceuticals has enabled Marico to expand its total addressable market in value-added foods and nutrition while giving it greater exposure to the rapidly growing personal care and wellness segments.
Plix’s portfolio is positioned around plant-based nutrition and wellness products, complementing Marico’s existing consumer products portfolio.
Strategic acquisition
The increased ownership comes as consumer companies increasingly seek growth beyond traditional categories and look to participate in fast-growing segments such as health, nutrition, functional foods and wellness.
For Marico, the latest transaction strengthens its control over a business operating in these emerging categories while providing a larger platform for scaling the Plix brand.
The ₹1,012.03 crore cash consideration for the 24.09% stake represents a significant investment by Marico in consolidating its position in the nutrition and wellness space.
