Zen Technologies said its board had approved the proposed transaction and the company executed a share purchase agreement, a share subscription agreement and a shareholders’ agreement on October 17, 2026.
The transaction is expected to be completed on or before December 13, 2026, subject to the satisfaction or waiver of conditions precedent specified in the agreements. The deadline may be extended by mutual agreement between the parties.
Upon completion, Cogknit Semantics will become a subsidiary of Zen Technologies. No governmental or regulatory approval is required for the acquisition, the company said.
Expands AI-based defence capabilities
Cogknit Semantics develops indigenous AI-enabled battlefield management and situational-awareness systems for the armed forces. Its capabilities are expected to complement Zen Technologies’ existing businesses in defence training, simulation and anti-drone systems.
The acquisition will extend Zen Technologies’ presence in defence technology beyond its existing portfolio, adding battlefield management systems that use AI to support situational awareness and operational decision-making.
The proposed investment aligns with the company’s efforts to broaden its defence technology offerings, with the integration of battlefield management capabilities potentially strengthening its ability to address the evolving technological requirements of the armed forces.
Bengaluru-based defence technology company
Incorporated on September 25, 2009, Cogknit Semantics is a privately held company headquartered in Bengaluru, Karnataka. Its business focuses on developing AI-based battlefield management and situational-awareness systems for the armed forces, with its operations currently confined to India.
The acquisition will give Zen Technologies a controlling stake in the company and bring its battlefield management technology capabilities within the group, subject to completion of the transaction.
