Veranda Learning Gets NCLT Nod For Demerger Of Commerce Education

Veranda Learning Solutions Ltd has received the approval of the National Company Law Tribunal (NCLT), Chennai Bench, for the composite scheme of arrangement involving Veranda Learning Solutions, Veranda XL Learning Solutions Pvt Ltd and J K Shah Commerce Education Ltd (JSCEL).

The approval paves the way for the demerger of Veranda Learning’s commerce education vertical into JSCEL, which will subsequently seek listing as an independent company.

The NCLT approval marks a key milestone in Veranda Learning’s Veranda 2.0 strategy, aimed at creating focused and independently managed education businesses with greater strategic focus, operational agility and long-term value creation for shareholders.

With the approval in place, the company has entered the execution phase of the demerger, subject to completion of implementation steps under the sanctioned scheme, applicable regulatory filings and other customary approvals.

Commerce business to operate as independent entity
The demerger process is expected to be completed within the prescribed statutory timelines. Key steps will include determination of the Record Date, share allotment and the proposed listing of JSCEL.

Once the Scheme becomes effective, JSCEL will house Veranda Learning’s entire commerce education business. The platform will bring together brands including J K Shah Classes, BB Virtuals, Navkar Digital Institute, Tapasya College of Commerce and Logic School of Management.

As an independent listed entity, JSCEL is expected to have greater flexibility to pursue growth opportunities, strengthen its market position and create long-term value for stakeholders.

He said the commerce vertical has evolved into one of India’s strongest professional education platforms and the demerger would enable it to pursue its next phase of growth as an independent company.

Focus on professional education
Veranda Learning’s commerce vertical offers coaching for CA, CS, CMA, ACCA, CPA and other finance and accounting qualifications through classroom, hybrid and online learning models.

The business has also established a track record of producing all-India rank holders across professional education examinations.

Veranda Learning will announce the record date, share entitlement, share allotment schedule and listing timeline of JSCEL through appropriate regulatory disclosures in due course.

The proposed restructuring is part of Veranda Learning’s broader effort to create more focused education businesses and provide each vertical with greater autonomy to pursue its respective growth opportunities.
