TVS Venu Entity Home Credit To Buy Varthana Finance In All-Cash Deal

Home Credit India, part of the TVS Venu Group, has signed an agreement to acquire 100% equity stake in Varthana Finance Pvt Ltd through an all-cash transaction, marking its entry into the specialised education finance segment.

The proposed acquisition is part of TVS Venu’s long-term strategy to build and scale high-quality financial services businesses catering to India’s evolving credit requirements across customer segments.

Financial details of the transaction were not disclosed.

Expanding presence in education finance
With the acquisition, TVS Venu will add Varthana’s specialised education finance franchise to its expanding financial services portfolio, strengthening its presence in secured and longer-tenure lending.

The transaction is also expected to enhance the Group’s position in India’s financial services sector while supporting Varthana’s next phase of growth.

Strengthening the financial services platform
TVS Motor Company Chairman Sudarshan Venu said India’s financial services sector continues to present significant long-term growth opportunities, driven by increasing formalisation of the economy, expanding access to credit and growing demand for specialised lending solutions.

“As we continue to build and scale our financial services platform, we remain focused on supporting high-quality institutions that address important customer needs across segments,” he said.

Sudarshan said Varthana has built a differentiated franchise within the education finance ecosystem with deep expertise in a specialised lending segment and a strong reputation among the institutions it serves.

“The proposed acquisition will broaden our participation in secured and longer-tenure lending while complementing the Group’s existing strengths. Subject to the necessary approvals, we look forward to working with the Varthana team and supporting the next phase of growth of the institution they have built, while bringing TVS Venu’s strengths in trust, governance, technology, customer focus and operating discipline,” he added.

Supporting the next phase of growth
Varthana Whole-time Director and Executive Vice Chairman Steve Hardgrave welcomed the proposed acquisition, saying it aligns with the company’s mission of supporting affordable private schools across India.

Portfolio diversification
TVS Venu already has a significant presence in consumer, retail and commercial finance through TVS Credit Services and Home Credit India, offering technology-driven lending solutions across the country.

The acquisition of Varthana Finance is expected to diversify the Group’s lending portfolio while creating synergies across operations, distribution, technology and risk management.

The transaction is subject to approval from the Reserve Bank of India (RBI) and other regulatory clearances, besides the fulfilment of customary closing conditions.
