Leading global pharmaceutical company Sun Pharmaceutical Industries Ltd has received shareholder approval from Organon & Co. for its proposed acquisition.
The approval marks a key milestone towards completion of the transaction. Following the deal, Organon will become a wholly owned subsidiary of Sun Pharmaceutical Holdings USA Inc., an indirect wholly owned subsidiary of Sun Pharma.
Deal details
Sun Pharma had announced in April 2026 that it would acquire 100% of Organon for $14 per share in an all-cash transaction.
The acquisition values Organon at an enterprise value of $11.75 billion.
Strategic fit
Organon was formed in 2021 following its spin-off from Merck, known as MSD outside the United States and Canada.
The company is a global leader in women’s health with a portfolio of more than 70 products spanning women’s health, general medicines and biosimilars.
It has a commercial presence in 140 countries and operates six manufacturing facilities across the European Union and emerging markets.
Expanding global presence
The acquisition is aligned with Sun Pharma’s strategy of expanding its innovative medicines business.
The transaction will also strengthen its established brands and branded generics portfolio while enabling the company to enter the biosimilars segment as a top-10 global player.
Long-term growth
Sun Pharma said Organon’s portfolio, global footprint and established stakeholder relationships will complement its existing strengths and support long-term value creation.
Following completion of the acquisition, the combined entity is expected to be among the world’s top 25 pharmaceutical companies with combined revenue of $12.4 billion. It will also rank among the top three players globally in women’s health and have operations across 150 countries, including 18 markets generating annual revenue of more than $100 million.
