Bluspring Enterprises Ltd, a services firm, through its wholly owned subsidiary Bluspring New Horizon Two Pvt Ltd, has entered into a definitive agreement to acquire 100% shareholding of LSG Sky Chefs (India) Pvt Ltd, marking its entry into the in-flight catering segment at Bengaluru International Airport.
The acquisition will provide Bluspring access to a long-term concession agreement running until 2039, enabling it to tap into the fast-growing aviation services ecosystem.
Transaction details
BNHTPL has signed a share purchase agreement with Airline Catering and Retail Invest Asia Pacific Ltd and Alfred Anton Rigler to acquire 1.09 crore equity shares of LSG India.
The deal is based on an enterprise value of ₹129 crore, with the final purchase price subject to customary adjustments. The transaction is expected to close within 60–90 days.
Strategic asset acquisition
LSG India, owned by AURELIUS, operates airline catering facilities at Bengaluru and Hyderabad airports.
The proposed transaction includes acquisition of the Bengaluru operations, while the Hyderabad business will be carved out prior to completion.
Strong operational base
Founded in 2001, LSG India provides in-flight catering and aviation services to leading airlines including IndiGo, Lufthansa, Etihad Airways and Qatar Airways.
Its Bengaluru facility spans 9,272 sq. mt. with a capacity of around 15,000 meals per day and generates revenue of over ₹110 crore, supported by a workforce of more than 400 employees.
Growth opportunity
With air passenger traffic at Bengaluru airport expected to rise from 45 million to over 70 million by 2030, the acquisition offers a strong platform for Bluspring to scale its aviation catering business.
The move also complements its existing food services vertical, enhancing margins and return on equity.
