Rubicon Research Ltd has entered into definitive agreements to acquire an 85% stake in Arinna Lifesciences Ltd for a consideration of ₹175.92 crore, marking a strategic expansion in the domestic formulations market.
The transaction, which values Arinna at an enterprise value of ₹200 crore on a cash and debt-free basis, is expected to be concluded within a month. Upon completion, Arinna will become a subsidiary of the Thane-based company.
The purchase consideration of ₹175.92 crore has been determined for the secondary acquisition of 85% equity shareholding in Arinna on a fully diluted basis, translating to a price of approximately ₹158.53 per share. The final consideration remains subject to customary adjustments at closing.
Strategic fit in CNS segment
The acquisition aligns with Rubicon Research’s strategy of leveraging its intellectual property-led portfolio and chronic therapies to drive growth in key markets, particularly in the central nervous system (CNS) therapeutic segment, a core focus area for the company.
Arinna’s established sales and distribution network is expected to provide Rubicon access to a wider base of patients and prescribers in India, supporting the rollout of its differentiated offerings, including specialty products and drug-device combinations.
