Adani Defence Systems & Technologies Ltd (ADSTL), a wholly owned subsidiary of Adani Enterprises Ltd, has signed a Share Purchase Agreement to acquire the remaining 44.6% stake in Flight Simulation Solutions Pvt Ltd (FSSPL) at an enterprise value of ₹820 crore.
The acquisition will increase ADSTL’s holding in FSSPL from 55.40% to 100%, making the company its wholly owned subsidiary. The transaction is expected to be completed within two months.
Expanding aviation business
The agreement has been signed with the existing shareholders of FSSPL as part of ADSTL’s strategy to strengthen its presence in the aviation services sector.
FSSPL, along with its subsidiaries, provides integrated flight training services for airline pilots. The company reported a turnover of ₹235 crore in FY26.
Pilot training
Following the acquisition, ADSTL’s effective stake in Flight Simulation Technique Centre Pvt Ltd (FSTC) will also increase from 72.80% to 100%.
FSTC is approved by the Directorate General of Civil Aviation (DGCA) and the European Union Aviation Safety Agency (EASA). It provides integrated pilot training and advanced flight simulation services for commercial airline pilots.
Strategic expansion
The acquisition is expected to strengthen Adani Defence’s capabilities in aviation training and simulation while expanding its presence in the fast-growing aviation services market.
The company said full ownership of FSSPL will enable greater operational integration and support its long-term growth strategy in defence and aviation-related businesses.
