ITC Acquires Balance 52.5% Stake In Yoga Bar Maker Sproutlife For ₹645 Cr

ITC Ltd has acquired the remaining 52.5% stake in Sproutlife Foods Pvt Ltd, the maker of Yoga Bar, for ₹645 crore, making the food products company a wholly owned subsidiary.

ITC acquired 13,445 equity shares of Sproutlife, with a face value of ₹10 each, through a secondary purchase. Following the transaction, ITC’s shareholding in Sproutlife has increased from 47.5% to 100%.

Acquisition strengthens foods portfolio

ITC said the acquisition is in line with its strategy to augment its future-ready portfolio in the foods segment.

Sproutlife operates in the new and innovative foods category and manufactures and sells food products under the Yoga Bar trademark.

Yoga Bar expands digital-first presence

Positioned as a digital-first brand, Yoga Bar has a strong online sales presence through its direct-to-consumer (D2C) platform and e-commerce marketplaces.

The brand is also expanding its presence across offline retail stores. Sproutlife reported a turnover of ₹452 crore in FY26.

ITC completes full ownership

With the acquisition of the remaining stake, Sproutlife will operate as a wholly owned subsidiary of ITC.

ITC said it does not have any promoter or promoter group, while its group companies have no interest in the equity shares acquired under the transaction.
